These Terms & Conditions apply to photography and related creative services supplied by MGANE Studio / Michael Gane. By confirming a booking, paying a booking deposit or otherwise instructing MGANE Studio to proceed with an assignment, the client agrees to these terms.

1. Bookings

A booking is confirmed when the agreed 30% booking deposit has been received. The booking deposit reserves the agreed date and is non-refundable, except where MGANE Studio cancels the assignment and an alternative arrangement cannot be agreed. Dates cannot be held indefinitely without payment of the booking deposit.

2. Payment

A 30% deposit is payable when the booking is confirmed. The remaining 70% balance is payable no later than six weeks before the scheduled photography date. Where a booking is made within six weeks of the photography date, the full fee is payable when the booking is confirmed.

Larger commercial assignments, retainers, subscription services or bespoke projects may have different payment arrangements. Where these have been agreed in writing, those arrangements take precedence. Additional work requested outside the original agreed scope may be charged separately.

3. Cancellation

If the client cancels more than six weeks before the scheduled photography date, the booking deposit will be retained but no further photography fee will normally become payable. If the client cancels within six weeks of the scheduled photography date, the full agreed fee remains payable.

4. Rescheduling

Where reasonable notice is provided, MGANE Studio will make reasonable efforts to transfer the booking to another mutually convenient date. Rescheduling is subject to availability and may incur additional costs where MGANE Studio has already incurred expenses or where the nature or scope of the assignment changes. Repeated postponements may be treated as a cancellation.

5. Cancellation by MGANE Studio

In the unlikely event that MGANE Studio is unable to undertake an assignment because of serious illness, emergency or circumstances outside reasonable control, every reasonable effort will be made to agree an alternative date or appropriate solution. Where MGANE Studio cancels an assignment and an acceptable alternative cannot be provided, payments made for the affected services will be refunded.

6. Photography and Creative Approach

The client acknowledges that they are commissioning MGANE Studio because of Michael Gane’s established photographic and visual style. MGANE Studio retains creative discretion over composition, lighting, selection, processing and final presentation. The final selection of photographs delivered to the client is made by MGANE Studio. Not every photograph taken during an assignment will be delivered.

7. Editing and RAW Files

Delivered photographs will receive professional selection, colour correction, tonal adjustment and other appropriate finishing. Digital processing may involve professional photographic software and contemporary digital imaging techniques where appropriate to the commissioned work. RAW files, working files, rejected photographs and unedited images are not supplied unless specifically agreed in writing before the assignment.

8. Delivery

Final photographs will normally be delivered within 14 working days of the photography assignment unless another timescale has been agreed. Delivery will normally be through a private online gallery, digital download or another agreed electronic method. Urgent or accelerated delivery may be available by prior agreement and may incur an additional charge.

9. Storage and Backups

MGANE Studio takes reasonable precautions when handling and storing client imagery but does not provide permanent archival storage. Once the final photographs have been delivered, the client is responsible for downloading, storing and maintaining appropriate backups of the files.

10. Copyright

Unless otherwise agreed in writing, copyright in all photographs remains with Michael Gane / MGANE Studio. Payment for photography services does not constitute a transfer or assignment of copyright. Any transfer of copyright must be specifically agreed in writing and may be subject to an additional fee.

11. Client Usage Licence

Once the agreed fees have been paid in full, the client receives a non-exclusive commercial licence to use the delivered photographs for the client’s own business activities, including company websites, social media, LinkedIn, advertising, marketing, public relations, press activity, brochures, presentations, internal communications, recruitment material, exhibitions and corporate displays.

The client may not sell, separately license or commercially distribute the photographs to unrelated third parties without written permission from MGANE Studio. Reasonable resizing, cropping and placement within the client’s designs is permitted. Material alteration, manipulation or use that substantially misrepresents the original work requires prior agreement.

12. Third-Party Use

Photographs may be supplied to designers, advertising agencies, printers, web developers and similar suppliers where they are acting on behalf of the client for the client’s authorised purposes. This does not give those third parties an independent licence to use the photographs for themselves or for other clients.

13. MGANE Studio Portfolio Use

Unless confidentiality or usage restrictions have been agreed before the assignment, MGANE Studio may use photographs from commissioned work for its own legitimate promotional purposes, including its website, portfolio, social media, printed portfolio, exhibitions, awards and marketing. Where a project is confidential, commercially sensitive or subject to an embargo, the client should notify MGANE Studio before photography begins.

14. Permissions, Locations and Participants

Unless specifically agreed otherwise, the client is responsible for obtaining appropriate permission for photography at the location and for ensuring that people participating in the photography have been appropriately informed and, where necessary, have consented or otherwise been authorised to participate. Where specific model releases, property releases, location permits or other permissions are required, responsibility for obtaining them should be agreed before the assignment.

15. Travel and Expenses

Travel within any area specifically included in the quotation or package price is included. Additional mileage, rail travel, parking, accommodation, location fees and other reasonable expenses may be charged where necessary. Where reasonably practicable, these costs will be discussed and agreed with the client before they are incurred.

16. Delays and Client Cooperation

The client should provide reasonable access, information and cooperation necessary for MGANE Studio to complete the assignment. MGANE Studio is not responsible for reduced coverage or results caused by circumstances outside its reasonable control, including significant delays, restricted access, unavailable participants, venue restrictions or substantial changes to the agreed schedule.

17. Equipment and Technical Failure

MGANE Studio takes reasonable professional precautions regarding photographic equipment, data handling and backups. In the exceptional event of equipment failure, file corruption, loss or another technical problem that materially prevents delivery, MGANE Studio’s first approach will be to provide an appropriate remedy where reasonably possible, which may include rescheduling or repeating affected work.

18. Circumstances Beyond Reasonable Control

Neither party will be responsible for failure or delay caused by circumstances genuinely outside their reasonable control, which may include severe weather, serious illness, transport disruption, venue closure, government restrictions, fire, flood or other exceptional events. Where possible, the parties will work together to reschedule or find a reasonable alternative.

19. Liability

MGANE Studio will exercise reasonable care and skill in providing its services. To the extent permitted by law, MGANE Studio’s total financial liability arising from an assignment will normally be limited to the amount paid by the client for the affected assignment. MGANE Studio will not normally be liable for indirect or consequential business losses arising from circumstances outside its reasonable control.

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or restricted.

20. Subscription and Retainer Services

Where the client purchases an ongoing photography subscription or retainer, the specific services, frequency, included shooting time, image delivery, payment schedule, cancellation arrangements and treatment of unused time will be stated in the relevant package or agreement. Those specific subscription terms will supplement these Terms & Conditions and will take precedence where there is a direct conflict.

21. Bespoke Commercial Projects

Large assignments, multi-location projects, photography and film commissions, campaigns and other bespoke work may be subject to a separate quotation, statement of work or written agreement. Where specific terms have been agreed for such a project, those terms take precedence over the corresponding provisions of these general Terms & Conditions.

22. Changes to the Assignment

Quotations are based upon the information and requirements provided at the time they are prepared. Significant changes to the location, duration, number of participants, deliverables, usage requirements or other aspects of the assignment may result in a revised quotation.

23. Complaints and Problems

If the client believes there is a problem with the delivered work or service, they should contact MGANE Studio as soon as reasonably possible. MGANE Studio will make reasonable efforts to investigate the issue and, where appropriate, agree a practical solution.

24. Governing Law

These Terms & Conditions and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
